- Guide the chairman and the board to ensure they are operating in accordance with rules and regulations;
- Support the chairman in ensuring the board functions efficiently and effectively;
- Facilitate good communication between the board, committees, senior management and non-executive directors, and shareholders;
- Take responsibility for the administration of the company, for example: maintaining statutory books, including registers of members, directors, and secretaries, and shareholders with all their past and present shareholdings, organising board meetings and annual general meetings (AGMs), preparing agendas and taking minutes;
- File necessary documents, such as annual tax returns and audit reports;
- Monitor changes in relevant legislation and the regulatory environment and take appropriate action;
- Liaise with external regulators and advisers, such as lawyers and auditors;
- Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements;
- Dealing with external counterparties (such as law firms), and selecting and monitoring their work as necessary to obtain legal opinions or deal with claims and disputes;
- Close communication with the legal team;
- Dealing with complaints from the headquarters;
- Work cooperatively with internal and external auditors when needed;
- Ensure and verify that all regulatory policies and procedures have been documented, implemented, and communicated;
- Support for the conduct and oversee internal reviews or audits periodically to ensure that compliance procedures are followed.
**Qualifications**
- University degree in either law, business management, accountancy or finance;
- Proven experience as Corporate/General Secretary in a bank;
- Familiar with business laws and regulations;
- Supremely organized and detail-oriented, an effective and patient communicator, an excellent problem solver and extremely discreet;
- Able to perform under pressure and a calm and rational mediator;
