**Job Summary**:
**Responsibilities**:

- Organize and maintain corporate records, including board meeting minutes, resolutions, and shareholder records.
- Ensure compliance with all legal and regulatory requirements, including filing of annual reports and other corporate documents.
- Coordinate and schedule board and committee meetings, prepare meeting agendas, and distribute meeting materials.
- Attend and record minutes of board and committee meetings.
- Act as a liaison between the company, its shareholders, and regulatory authorities.
- Assist in the preparation of annual reports, proxy statements, and other corporate documents.
- Provide administrative support to the Board of Directors and senior management, including managing schedules, making travel arrangements, and handling correspondence.
- Assist in the organization of shareholder meetings and other corporate events.

**Requirements**:

- Proven experience as a Corporate Secretary or similar role.
- Strong knowledge of corporate governance practices and legal requirements.
- Excellent communication and organizational skills.
- Ability to work independently and manage multiple tasks simultaneously.
- Attention to detail and high level of accuracy.
- Discretion and ability to maintain confidentiality.
- Bachelor's degree in Business Administration, Law, or a related field.
