Roles and responsibilities

1. Legal Expertise inFinance

  • CorporateFinance: Understanding the legal issues related toraising capital, including debt and equity financing, andstructuring complex financialtransactions.
  • RegulatoryCompliance: Knowledge of financial regulations andstatutes such as the Securities Act of1933, Dodd-Frank Act,and other relevant national and international financialregulations.
  • SecuritiesLaw: Expertise in securities regulations, includingthe issuance of stocks, bonds, and other financial instruments, aswell as compliance with the SEC rulesand requirements.
  • Banking& Lending: Advising clients on lendingtransactions, including secured and unsecured loans, creditfacilities, and bankingregulations.
  • Mergers &Acquisitions (M&A): Assisting in structuringand negotiating financing for M&A transactions, includingdue diligence, financing arrangements, and post-mergerintegration.
  • InvestmentFunds: Advising on the formation and operation ofinvestment funds (e.g., private equity, hedge funds), includingregulatory compliance andstructuring.

2.Drafting & NegotiationSkills

  • DraftingFinance Documents: Drafting legal documents such asloan agreements, credit facilities, subscription agreements,investment management contracts, and securitiesfilings.
  • TransactionStructuring: Assisting in the structuring of complexfinancial transactions, such as debt offerings, equity deals, andother investmentvehicles.
  • Negotiation:Engaging in negotiations on behalf of clients to reach favorableterms in financing agreements, investment terms, and otherfinance-related transactions.
  • DueDiligence: Conducting due diligence to ensure thatall relevant legal and financial information is disclosed and tomitigate any potential risks intransactions.

3. ClientAdvisory & RelationshipManagement

  • ClientCommunication: Communicating effectively withclients to understand their financial and business needs, providingstrategic legal advice, and guiding them through financialtransactions.
  • Financial StrategyAdvice: Advising clients on the legal aspects offinancing strategies, including risk management, corporaterestructuring, or investmentstrategies.
  • TransactionManagement: Managing client expectations andensuring smooth execution of financial transactions, from initialnegotiations to closing.
  • IndustryInsight: Providing insights on industry trends andmarket developments that might impact client investments, mergers,or financing decisions.

4.Research & FinancialAnalysis

  • MarketResearch: Conducting research into financialmarkets, financial products, and industry-specific regulations tostay informed on the latest developments in financelaw.
  • RiskAssessment: Assessing legal and financial risks intransactions, advising clients on how to manage or mitigate thoserisks, and ensuring legalcompliance.
  • FinancialModeling: Understanding and applying financialmodels to assess the financial viability and legal structure ofdeals, especially when working with investment funds or structuringfinancing agreements.

5.Transaction Support &Documentation

  • DueDiligence and Compliance: Ensuring all aspects ofthe deal meet regulatory requirements, conducting backgroundchecks, reviewing financial documents, and confirming that alllegal requirements aremet.
  • TransactionClosing: Assisting with the closing process,including the finalization of documents, ensuring all conditionsare met, and coordinating with other parties involved (banks,investors, etc.).
  • Document Review& Revision: Reviewing and revisingtransaction-related documents to ensure all terms are favorable toclients and comply with applicable laws.
Desired candidate profile

The Associate will be workingclosely with some of the region's most prestigiousPartners and one of the most diverse teams. This will be a generalbanking & finance role where in which the candidate will begetting involved in a wide range of work with a focus on securedand syndicated matters across the region and on an internationalbasis.

To be considered forthis opportunity, the successful candidate will be at the NQ-1PQElevel, trained and qualified at a magic circle/U.S law firm inEngland & Wales or New York. Regional experience preferredhowever not arequirement.

  • LegalResearch Platforms:Westlaw,LexisNexis, or BloombergLaw for conducting in-depth financial and legalresearch.
  • DocumentManagement: iManage,NetDocuments, orDocument Management Systems fororganizing and managing transaction-related documents and clientfiles.
  • FinancialDatabases: PitchBook,Bloomberg Terminal, orThomson Reuters for financial data,market intelligence, and dealinformation.
  • ContractManagement: DocuSign,ContractWorks, orContract Express for managingcontracts, signatures, and documentworkflows.
  • ProjectManagement: Trello,Asana, orMonday.com for managing tasks,deadlines, and document reviews acrossteams.
