Position OverviewWe are seeking an accomplished and strategic professional to join our senior management team asHead of Corporate.This executive role carries full responsibility for the corporate, legal, and administrative affairs of a diversified international group. The position plays a central role in ensuring sound governance, legal compliance, and structural integrity across all jurisdictions, while supporting the company's long-term growth and strategic objectives.The ideal candidate will bring extensive international corporate experience, exceptional legal acumen, and a proven ability to navigate complex cross-border structures. This is a high-impact leadership role for a professional who combines strategic insight with hands-on execution capability.Location: Dubai, UAE (relocation package support). Housing and transportation allowance.Key ResponsibilitiesCorporate Governance & ComplianceDevelop and implement a global corporate governance framework to ensure full compliance with international and local regulations.Oversee all corporate secretarial activities, including board and shareholder meetings, resolutions, filings, and statutory documentation.Advise the Board of Directors and executive leadership on governance, director duties, and shareholder relations.Establish, monitor, and enforce internal policies, signatory authorities, and corporate control mechanisms to mitigate legal and operational risks.Strategic Transactions & M&ALead the legal execution of mergers and acquisitions, joint ventures, divestitures, and corporate restructurings.Manage all transaction stages — due diligence, structuring, negotiation, documentation, and post-closing integration.Partner with Finance, Tax, and Corporate Development teams to align business, financial, and legal strategies.Select and manage external counsel and advisors to ensure effective, timely, and cost-efficient delivery of all corporate projects.International Entity ManagementOversee the full lifecycle management of all group entities — from formation and registration to maintenance and dissolution.Ensure all subsidiaries remain in good standing and compliant with regulatory requirements across multiple jurisdictions.Supervise intercompany agreements, transfer pricing documentation, and global corporate structure optimization.Maintain effective relationships with directors, regulators, and local service providers worldwide.Leadership & Strategic CounselBuild, lead, and mentor a high-performing corporate legal and administrative team.Provide forward-looking advice on international structuring, expansion strategy, and corporate risk management.Manage relationships with external stakeholders, including banks, auditors, and legal service providers.Oversee the corporate legal budget with focus on operational efficiency and strategic value creation.Qualifications & ExperienceQualified lawyer with 12–15+ years of post-qualification experience in corporate law.Professional background combining top-tier international law firm experience and senior in-house leadership within a multinational organization.Proven success in managing complex cross-border M&A, joint ventures, and restructuring projects .In-depth expertise in international governance and entity management under both common and civil law systems.Strong leadership record with demonstrated ability to develop and retain high-performing teams.Commercially astute, with excellent judgment and the ability to provide pragmatic, business-oriented legal advice.Outstanding communication and influencing skills, capable of engaging effectively at Board and executive levels.Adaptable, decisive, and comfortable operating in a fast-paced, multicultural global environment .EducationLL.B., J.D., or equivalent law degree from a leading university.Admission to the Bar in a recognized jurisdiction.A postgraduate qualification such as an MBA or Master's in Finance will be considered a strong asset.Recruitment process: Apply CV -> Phone Screen -> Hard skills interview -> Culture Interview.
