Job Description

We are seeking a highly skilled Corporate Governance Specialist to join our team at Michael Page. As a key member of our Legal Compliance Team, you will play a critical role in ensuring the smooth operation of our global entity administration.

Key Responsibilities:
  • Maintain Global Entity Administration: Oversee the maintenance of directorships, share transfers, and corporate changes across our global entities.
  • Manage Corporate Structure: Utilize Blueprint to create and maintain accurate corporate structure charts, ensuring seamless communication and decision-making.
  • Coordinate Board Activities: Organize and facilitate board meetings, written resolutions, and obtain necessary authorizations for day-to-day business operations.
  • Service Approvals and Meetings: Coordinate service approvals and weekly internal meetings to ensure timely and efficient decision-making.
  • Liaise with Global Partners: Collaborate with global company secretaries and service providers to ensure seamless communication and coordination.
  • Key Contact: Serve as the primary point of contact for our specified registry in the Legal Compliance Team.
  • Entity Incorporations: Coordinate the incorporation of new entities globally, ensuring compliance with all relevant regulations.
  • Compliance Reporting: Generate compliance reports and metrics to provide valuable insights and drive business growth.
Requirements:
  • Education: Undergraduate degree in a relevant discipline, preferably Law.
  • Experience: 3-4+ years of experience in a Corporate Legal Department, Law Firm, or Corporate Service Provider.
  • Qualifications: Qualification from the Chartered Governance Institute UK & Ireland or equivalent is preferred, or training in corporate secretarial practice.
  • Blueprint Experience: Preference will be given to candidates with experience using Blueprint.
  • Technical Skills: Excellent PC skills and attention to detail.
  • Coordinating Experience: Experience in coordinating board and annual meetings, corporate filings, and preparing corporate documentation.
