Job Title: Company Secretary

Nathan HR Human Resources is seeking a highly experienced Company Secretary to join their team in Dubai.

Job Description:

The ideal candidate will have a minimum of 10-15 years of work experience in handling secretarial compliances independently. They should be well-versed with the applicable Companies Act and other laws of respective countries.

Responsibilities:

  1. Drafting and Circulation: Drafting and circulation of Notice, Agenda, and other supporting papers for convening meetings, including board and shareholders meetings, in compliance with applicable laws and company rules.
  2. Preparation of Minutes: Preparation and circulation of Minutes of board and general meetings.
  3. Directors Report: Drafting of Directors Report, Annual Returns, and supporting papers.
  4. Relevant Policies: Preparation of relevant policies in compliance with applicable laws, including periodic updates.
  5. Advice to Board: Providing advice to the Board on governance matters and acting in the best interest of the Company.
  6. Liaison with Board: Acting as a liaison between the Board of Directors and Senior Management.
  7. Statutory Documents: Preparation and filing of statutory documents/returns with the Registrar of Companies & other authorities to comply with periodic filing requirements or notify changes regarding the company.
  8. Maintenance of Statutory Books: Maintenance of statutory books including registers of members, directors, and secretaries.
  9. Compliance with Laws: Ensuring compliance with all applicable legislations, laws, and regulations, including Foreign Exchange laws, and keeping board members informed of their responsibilities.
  10. Monitoring Changes: Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action.
  11. Stakeholder Coordination: Coordinating with regulators, authorities, banks, lawyers, auditors, and other stakeholders in respective territories.
  12. Document Maintenance: Monitoring, updating, and maintaining all incorporated documents.
  13. Additional Duties: Performing any other duties as assigned from time to time.

Requirements:

  1. Company Secretary Experience: Qualified Company Secretary with a minimum of 10-15 years of work experience in handling secretarial compliances independently.
  2. Knowledge of Laws: Well-versed with the applicable Companies Act and other laws of respective countries.
  3. Experience with Joint Ventures: Experience in working with Joint Ventures entities and M&A transactions.
  4. Experience with Listed Companies: Experience in working with listed companies is preferred.
  5. FEMA Compliances: Thorough knowledge and experience in FEMA compliances and regulations.
  6. Experience with Multiple Entities: Experience in working with multiple overseas entities.
  7. Communication Skills: Excellent communication skills, both written and verbal.
