**JOB DESCRIPTION**

The Compliance Officer will be responsible for ensuring that the crypto startup and trading platform operates in full compliance with all relevant laws, regulations, and guidelines as set by the UAE's Virtual Assets Regulatory Authority (VARA) for Virtual Asset Service Providers (VASPs). The role involves developing, implementing, and managing the compliance program, conducting risk assessments, and fostering a culture of compliance within the organization.
- **Regulatory Compliance**:

- Ensure the company complies with all applicable regulations and guidelines issued by VARA and other relevant authorities.
- Monitor changes in regulatory requirements and update the compliance program accordingly.
- Prepare and submit regular compliance reports to VARA and other regulatory bodies as required.
- **Policy Development and Implementation**:

- Develop, implement, and maintain compliance policies and procedures in line with regulatory requirements.
- Ensure that all policies and procedures are up-to-date and effectively communicated to all relevant stakeholders.
- **Risk Assessment and Management**:

- Conduct regular risk assessments to identify potential compliance risks and vulnerabilities.
- Develop and implement risk mitigation strategies and controls to manage identified risks.
- Monitor and report on the effectiveness of risk mitigation measures.
- **KYC/AML and CFT Programs**:

- Oversee the implementation and management of robust Know Your Customer (KYC), Anti-Money Laundering (AML), and Counter Financing of Terrorism (CFT) programs.
- Ensure customer due diligence (CDD) and enhanced due diligence (EDD) processes are conducted in accordance with regulatory requirements.
- Monitor and report suspicious activities and transactions to the relevant authorities.
- **Training and Education**:

- Develop and deliver ongoing compliance training programs for employees to ensure awareness and understanding of compliance requirements.
- Foster a culture of compliance and ethical behavior within the organization.
- **Internal Audits and Monitoring**:

- Conduct regular internal audits and reviews to assess the effectiveness of the compliance program.
- Monitor day-to-day activities to ensure adherence to compliance policies and procedures.
- Report on audit findings and oversee the implementation of corrective actions.
- **Reporting and Documentation**:

- Maintain accurate and comprehensive compliance records and documentation.
- Prepare and present compliance reports to senior management and the board of directors.
- **Collaboration and Communication**:

- Collaborate with other departments to ensure integrated and cohesive compliance efforts.
- Act as a liaison between the company and regulatory authorities, external auditors, and other stakeholders.
- **Data Privacy Compliance**:

- Ensure the company's data protection practices comply with relevant data privacy regulations, such as GDPR or CCPA.
- **Obtain Necessary Licenses**:

- Ensure the company obtains and maintains all necessary licenses and registrations required for its operations.
- **Work with Legal Team**:

- **Maintain Records**:

- Keep detailed records of compliance activities, including policies, training sessions, audits, and reports.
- **Evaluate and Improve**:

- Continuously evaluate and improve the compliance program to address new risks and regulatory requirements.

**RESPONSIBILITIES**
- CO shall establish and maintain an effective compliance management system [CMS] which covers all relevant aspects of their operations, including the unfettered access to necessary records and documentation by the Board and relevant Staff.
- CO shall ultimately be responsible for establishing and administering the CMS and notifying VARA and other relevant authorities of the occurrence of any material non-compliance by the VASP, its Board or its Staff with applicable legal and regulatory requirements. The CMS and the compliance policies and procedures shall be reviewed and updated from time to time to ensure that they are aligned with the changing business and regulatory landscape applicable to the global Virtual Asset sector.
- CO shall comprise technical competence, resources [including financial and non-financial] and experience necessary for the performance of their functions; and comprises a testing and monitoring program that is risk-based and designed to regularly select and review different areas of the business and analyze key performance and risk indicators.
