**Job Description**:
As the **Compliance Counsel, **you will provide critical legal advice and business counsel to the Company in connection with general legal services consisting of commercial transactions, real estate, safety in the workplace, employment laws and practices, legal operations, and regional specific challenges. A key business partner consisting of both attorney and non attorney professionals, expect to drive GM’s success by combining both legal and business expertise and understanding our operations and strategic goals.

This role will primarily be devoted to supporting the Lead Counsel and Regional Compliance Officer for General Motors International related activities.

**Responsibilities include**:

- **Due Diligence - **In addition to GM’s existing diligence rights to dealers/distributors, we expect to receive and exercise substantially enhanced rights to diligence a variety of business partners. The compliance counsel will be the working level attorney on each diligence file.
- **Joint Compliance Committee - **The compliance counsel will help prepare the agenda, prepare content, coordinate presentations and attendees, follow up on action items, and provide significant working level support for the actions of the compliance committee.
- **Compliance Consultant Work**:

- The compliance counsel position is expected to interact significantly with the appointed compliance consultant, ensuring his/her work is in line with GM expectations, that open issues are followed up on, and shaping the final report and implementation of the report.
- **Training and Communications**:

- The compliance counsel will coordinate training sessions for GM personnel and potential personnel on relevant compliance topics, ensure leadership integrity messages are issued from the GM leadership.
- **Regular interactions with GM Business**:

- The compliance counsel will take the lead in evaluating business proposals and current business activities to ensure the compliance profile of the relationship remains appropriate.
- **Audit and Monitoring Activities**:

- The compliance counsel will provide working level support to lead, under compliance related audits, address issues as they arise, and support the implementation of action plans from the audits. In addition, the compliance counsel will support monitoring of the business, as appropriate, in terms of regular business activities within the purview of GM’s MAA rights.
