Team Structure:
We are currently seeking an experienced junior associate to join our team. The role sits within the M&A, Corporate & Commercial department. The team advises on a broad range of corporate and commercial transactions, including M&A, joint ventures, FDI, private equity and venture capital investments, corporate reorganisations, and commercial agreements (licensing, distribution, franchising, outsourcing, procurement, hotel management agreements, etc.). In addition, we advise on governance, shareholder disputes, and other general corporate and commercial matters.
The team has a high-quality client base ranging from blue-chip multi-national clients to regional corporate groups to listed entities and high net worth individuals.
The department runs regular legal training sessions and roundtable discussions covering the core practice areas listed above, as well as associate development centres focusing on management skills and BD at junior, mid and senior level. The ongoing support and development of our associates is regarded as essential to our continuous growth and success.
Main Responsibilities:
- Clear, concise and unambiguous preparation, drafting and negotiation of corporate (including transaction documents) and commercial documentation
- Conducting due diligence exercises
- Legal research and drafting memoranda of advice
- Preparing proposals and credential statements
- Liaising with clients, especially on routine matters
- Transaction project management (with appropriate supervision)
- Developing own informal internal and external network of contacts
- Building excellent working relationships with clients and peers within the firm
- Participating in and contributing to business development and profile-raising events, such as client seminars, client e-alerts and graduate recruitment activities
- Conducting legal research using internal and external knowledge management resources
Attributes/Skills Required:
- Common law qualified Associate
- Experience of practising in a corporate team (UAE experience preferred, but not essential)
- Should have a good grasp on fundamentals of corporate transactions and practices.
- Essential to have an open-minded and learning mindset and to learn about new legal systems and regulations (especially if new to the region) and since we have a multi-jurisdictional practise
- Background in a firm with a strong corporate team
- Accuracy and attention to detail
- Excellent verbal communication skills
- Organised and able to work to strict deadlines with the ability to prioritise realistically
- Good housekeeping/file management practices; managing and recording time promptly and accurately
- Resilient with the ability to handle setbacks and pressure
- Cooperative and collaborative in approach and able to develop excellent working relationships at all levels and within all roles
- Ability to operate professionally and proactively at all times
- Self-aware and an active participant in self development
- Flexible, a lateral thinker
- Exhibits an understanding of the firm’s position in the market and how it distinguishes its services from its competitors
