During Project DevelopmentPhase

For the project(s) he/shewill be assigned to, working closely with the project developmentand execution teams and under the leadership of the ProjectExecution Manager, the Contract Manager:

  • Leads and manages all contractualaspects of the PPA (Power Purchase Agreement), if already in place,including notifications, formal communications andcommercial/contractual claims.
  • Supports thelegal team in the preparation of the EPC contract, theOwner's Engineer Service Agreement, the InterconnectionAgreement and other project agreements including annexes andformats.
  • Support the legal team in the analysisof the comments made by the EPC bidders to the contract draft andprovides recommendations.
  • Ensure the contractpreparation planning is respected to meet the mains projectmilestones.

During ProjectExecution Phase

  • Leads and manages all contractualaspects of the PPA, the EPC Contract(s) and all the otherconstruction/services agreements, including notifications, formalcommunications, variation orders, commercial/contractual claims,negotiation of LDs and claims, risk assessments, etc….For that purpose, he/she Is fully aware of the Power PurchaseAgreement, the EPC Contracts, the Interconnection agreement, theOwner's Engineer Service Agreement, the O&MAgreement and the various Project Agreements and manage thestakeholders effectively in line with thecontracts.
  • Is effective in responding to thecorrespondences from various counter parties and ensure theinterests of COMPANY and the Owner/Project Company areprotected.
  • Ensures that the actions of the EPCContractor are in line with its contractualresponsibilities.
  • Evaluates the legitimacy ofany claim and performs a regular review of the claim strategy withthe PEM.
  • Actively monitors the project progressin line with the contract schedule and ensure the parties adhere tothe program.
  • Works closely with theconstruction supervisory team and the Site/Construction Manager,and interfaces with senior management team, finance and legalpersonnel to meet overall projectdeliverables.
  • Establishes procedures for theawarding and administration of any projectcontracts.
  • Establishes together withOwner's Engineer and finance the procedure forcontractors' payment application verification and invoiceapproval.
  • Understands and prepares togetherwith finance the invoicing procedure under the PPA and, whenapplicable, works closely with the consultant in the implementationof the Plant Accounting and Settlement System (billingsystem).
  • Monitors and manages theCompany's various registration documents, certifications,construction permits, project related permits, NOCs and workactively to ensure timely renewals.
  • Formalizesthe lessons learned and best practices during the execution of theproject and supports the PEM in the restitution of such lessonslearned at the end of theproject.
