The Board & Corporate Secretary is responsible for delivering comprehensive board secretarial and corporate support and ensuring full compliance with UAE corporate law. This position provides expert guidance on legal and regulatory obligations, prepares high-quality Arabic and English documentation, and acts as a key point of coordination between the Board of Directors, management, regulatory authorities, and other key stakeholders. Key Responsibilities - Serve as the primary liaison with the Board of Directors and its committees, ensuring timely scheduling, agenda preparation, and accurate minute-taking in both Arabic and English. - Oversee the organisation's compliance with UAE corporate law, statutory requirements, and best practices relating to company secretarial matters. - Draft, review, and translate meeting materials and official correspondence, ensuring documents meet required legal standards in both languages. - Maintain statutory registers, records, and filings in accordance with UAE legal obligations. - Facilitate the onboarding and training of new Board members to ensure clear understanding of governance processes and legal duties. - Act as primary point of contact for government authorities and external counsel on all corporate governance and legal matters. - Support the senior management team with ad hoc problem solving related to corporate and regulatory requirements. - Proactively identify risks and implement solutions to uphold legal and ethical standards. Essential Skills: UAE Corporate Law, Arabic, and English - Expert knowledge of UAE corporate law and company secretarial practices. - Fluency in Arabic and English, both written and spoken, with ability to draft and review legal and board documents to a high standard in both languages. - Strong problem solving and analytical skills; able to interpret complex legal issues and develop suitable solutions. - High degree of flexibility and adaptability to the evolving needs of a start-up environment. - Excellent interpersonal and communication skills with the ability to work effectively across multiple departments and external parties. Qualifications & Experience for Board Secretary (UAE) - Relevant university degree in Law, Corporate Governance, or related field. - Minimum 5 years experience as a Board or Corporate Secretary, preferably within the UAE or GCC region. - Demonstrated experience managing board processes and statutory filings in line with UAE corporate requirements. - Previous experience in a start-up or fast-growth aviation, logistics, or transport business is desirable. - Proficient in standard office software and document management systems.
