Strong interpersonalskills are required as you will frequently collaborate with variouscounterparties as well as peers in other teams across theTotalEnergies Company in Middle-East, Paris and internationally(working in teams/project mode with the operational people as wellas the other lawyers of TotalEnergies Renewables andTotalEnergies).

Activities

TotalEnergiesRenewables hub in Dubai is seeking for a permanent position a LegalCounsel to join our growing Middle Eastoperations.

Based in Dubai and within theregional team, you will provide legal advice and assistance toTotalEnergies Renewables Business Unit in Middle East/North Africaand in particular to the multidisciplinary teams in charge of thedevelopment, investment, support to the construction phase and theoperation phase of renewable projects (mainlyIPP).

Responsibilities

Yourmain responsibilities will be, under the supervision of the SeniorLegal Counsel to:

  • anticipate the risks and legal needs,alert, advise and propose appropriatesolutions;
  • draft and/or review a wide range ofcontracts (power purchase agreements, confidentiality agreements,letters of intent, MOU, joint development agreements, shareholdersagreements, EPC contracts, O&M agreements, land agreements,acquisition and sale of assets, share purchase agreements, projectfinance agreements...) and participate actively in theirnegotiation;
  • prepare the legal documentationfor the response to calls for tenders for renewable projects andfollow the legal aspects of such projects once awarded (creation orparticipation in joint ventures, implementation ofagreements...);
  • support the businessdevelopment, construction and asset managementteams;
  • analyze and interpret new regulationswithin the region;
  • coordinate and supervise thework of the external law firms with applying the legal grouppolicies related to the choice of lawfirms;
  • support in the incorporation andestablishments of project companies and affiliate in theregion;
  • follow the claims and litigation (ifany) associated with the portfolio ofprojects;
  • Contribute to the legal reporting ofTotalEnergies Renewables and to the preparation of the relevantdocuments in order to prepare internal committees, under thesupervision of the Senior LegalCounsel;
  • contribute to the development oftraining and guidelines to operationalteams
  • participate, under the supervision of theSenior Legal Counsel, to the implementation and evolution ofTotalEnergies Renewables contractual policy and the standardizationof contractual documents.
  • Ensure compliancewith the Company corporate policies applicable within your field ofresponsibility
  • implement a culture ofcompliance and integrity;
