Roles and responsibilities

Our client, an establishedfamily-office, is seeking a Legal Counsel with a minimum of 5 yearsof experience who will support the company across Legal Advisory,Corporate Governance and Estate & WealthPlanning.

The Legal Counsel will providecomprehensive legal support to the Family Office, offering guidanceon a wide range of legal issues including estate planning, assetprotection, investment management, corporate governance, and familybusiness operations. The role requires a deep understanding of bothfamily dynamics and legal complexities to ensure compliance,minimize risks, and support the overall strategy of the familyoffice.

KeyResponsibilities:

LegalAdvisory :

  • Advise on abroad range of legal matters including real estate, tax, trusts,estate planning, and successionplanning.
  • Provide guidance on investmentstructures, fund formation, and capital deployment in variousjurisdictions.
  • Review and draft legaldocuments, including contracts, agreements, andmemorandums.
  • Ensure compliance with local andinternational laws affecting the family's businessinterests.

CorporateGovernance :

  • Assist withcorporate governance issues for family businesses, foundations,trusts, and investment entities.
  • Ensurecompliance with legal and regulatory requirements for all entitiesunder the Family Office'spurview.
  • Manage board meetings, resolutions,and shareholder agreements.

Risk Management &Compliance :

  • Identify,assess, and mitigate legal risks in family office transactions andbusiness operations.
  • Develop and implementpolicies and procedures to ensure the office remains compliant withlegal regulations.
  • Manage relationships withexternal legal advisors, ensuring cost-effective and high-qualitylegal services.

Estate & WealthPlanning :

  • Advise onestate planning and structuring to protect family wealth and ensuresmooth succession.
  • Collaborate with financialadvisors to design and implement wealth transferstrategies.
  • Provide legal oversight in creatingtrusts, wills, and other legal instruments for estateplanning.

FamilyGovernance :

  • Assist indeveloping and maintaining family charters, constitutions, orsimilar governance structures.
  • Mediate disputesbetween family members and offer legal guidance during familymeetings.

DisputeResolution :

  • Managelitigation and arbitration processes, when necessary, ensuringminimal disruption to familyinterests.
  • Coordinate with external legalcounsel in case of legal disputes or international legalmatters.

Tax andRegulatory :

  • Collaboratewith tax advisors on tax optimization and compliancestrategies.
  • Ensure the family office'soperations align with tax laws in relevantjurisdictions.

Qualifications:

Education :Bachelor's degree in Law (LLB) or Juris Doctor (JD).Master's in Law (LLM) in taxation, trusts, or corporatelaw is anadvantage.

Experience :

  • Minimumof 5-7 years of legal experience, with a focus on family offices,wealth management, corporate law, or estateplanning.
  • Previous experience in a law firm,financial institution, or as in-house counsel ispreferred.
