About This Role

Key Responsibilities

We are seeking an experienced Corporate Attorney to join our team. As an in-house counsel, you will be responsible for managing our legal affairs, providing expert corporate and transactional legal advice, and playing a vital role in our operations and corporate compliance efforts.

Responsibilities

  1. Managing our legal affairs, providing expert corporate and transactional legal advice, and playing a vital role in our operations and corporate compliance efforts.
  2. Handling venture capital, private equity, and M&A transactions, providing expert corporate and transactional legal advice and service to Shorooq.
  3. Conducting due diligence on potential investments, ensuring compliance with legal and regulatory requirements.
  4. Identifying and mitigating legal risks associated with investment strategies, transactions, and portfolio management.
  5. Liaising with external service providers and partners, such as external legal counsel, fund administrators, auditors, etc.
  6. Reviewing, monitoring, and implementing Shorooq's internal policies, including employment and financial compliance policies.
  7. Assisting with compliance matters, including reporting and documentation obligations related to regulations of the ADGM FSRA and internal processes and procedures.
  8. Assisting with maintaining registration details for Shorooq and its affiliated entities and investment vehicles.
  9. Assisting with necessary filings required by the registration/regulatory authorities.
  10. Assisting with investor relations and reporting, ensuring legal requirements are met.
  11. Providing general day-to-day legal advice and general commercial and contract legal issues.
  12. Researching legal issues as necessary, including new initiatives.
  13. Staying up-to-date with securities laws, financial regulations, and other compliance requirements relevant to investment activities.

Requirements

  • 2+ years of experience with a top-tier law firm or in-house at a venture capital firm, handling venture capital, private equity, and M&A transactions.
  • J.D. or equivalent degree from a leading law school with excellent academic credentials.
  • Admitted to practice law and in good standing with the relevant bar association or society.
  • Strong business and commercial judgment and project management skills.
  • Strong oral and written communication skills. Fluency in English is a must, fluency in Arabic is a plus.
  • Basic financial analytical capabilities are required.
  • Strong experience working with Microsoft Office applications, including Word, PowerPoint, and Excel.
  • Knowledge of financial regulations, particularly those of the ADGM. Knowledge of financial regulations in other markets in which Shorooq operates would be a plus.
  • Team player, ambitious, self-driven, results-oriented, and sharp time management skills.
  • Strong ethics, with an ability to manage confidential data.
  • An entrepreneurial mindset, which includes having flexibility and interest in taking on a variety of tasks to support the firm's growth.
