Job Description

**Job Title:** Senior Corporate Counsel

**Job Summary:** We are seeking a highly skilled and experienced Senior Corporate Counsel to join our team at ADNOC L&S. The successful candidate will provide legal counsel and advice to our senior management team on commercial, corporate, and transactional matters.

Key Responsibilities:

  1. Provide legal counsel and advice to the General Counsel, Associate General Counsel, and Senior Legal Counsel on commercial, corporate, and transactional matters, including joint ventures, investments, mergers, acquisitions, incorporations, dissolutions, and liquidations.
  2. Draft, review, interpret, and amend legal opinions, agreements, letters, memos, submissions, and other relevant documents related to our business, projects, or transactions.
  3. Assist the General Counsel, Associate General Counsel, and Senior Legal Counsel in providing the legal functions of ADNOC L&S, particularly in the development and implementation of common legal practices and joint strategies.
  4. Attend internal ADNOC L&S committees and meetings as required.
  5. Assist with external legal counsel services related to contractual advice or employee or domestic contract disputes, including review of external legal counsel work product, preparation of requests for proposals, and instructing external legal counsel.
  6. Coordinate with the Corporate Governance Department on corporate governance matters related to contracts and transactions.
  7. Coordinate with the Compliance Department on compliance matters related to contracts and transactions.
  8. Provide legal advice and services to the General Counsel, Associate General Counsel, and Senior Legal Counsel to ensure that our commercial and corporate activities are conducted in compliance with applicable law and regulations.
  9. Assist in advising on all ADNOC L&S disputes (whether in court, arbitration, or other forms of dispute resolution) relating to employees and breach of contract.
  10. Perform other similar duties as assigned by the General Counsel, Associate General Counsel, and Senior Legal Counsel.

Requirements:

  1. Bachelor's Degree in Law.
  2. At least 5 years of relevant experience, preferably in top international law/consultancy firms and/or local or international blue-chip corporations.
  3. Experience preferably in commercial contracts, with some disputes experience as an advantage but not a prerequisite.
  4. Excellent English language skills (written and spoken). Knowledge of Arabic is an asset.
