As a key member of our legal team, the Group Company Secretary will play a critical role for the NMC Healthcare group of companies (NMC) in ensuring the smooth administration of all NMC companies and their branches in the UAE and abroad (NMC Entities), in compliance with statutory and regulatory requirements. The individual will act as a point of communication between the Legal Department, senior management, facilities, corporate services and finance teams, government and regulatory authorities and other stakeholders. This position reports to the Group General Counsel.

**Corporate Compliance**:

- Ensure NMC Entities comply with all legal and statutory requirements as per applicable laws and regulations including annual corporate filings with corporate registrars in the UAE and abroad.
- Monitor changes in relevant legislation and regulatory environments, make appropriate recommendations to Management and implement process changes.

**Record Keeping**:

- Maintain statutory books, including registers of members, directors, officers, shareholders and UBOs, resolutions of shareholders and directors for all NMC entities.
- Ensure timely upkeep, update and maintenance of NMC corporate records.

**Regulatory Liaison**:

- Act as a principal point of contact with regulatory bodies and external advisors on matters relating to corporate compliance and other matters including maintenance and renewal of trade licenses and powers of attorney.
- Keep abreast of changes in legislation and the regulatory environment that affect the healthcare sector and NMC.

**Education and Certification**
- Bachelor’s degree in law, Business Administration, or a related field.Professional qualification in company secretarial practice, such as Chartered Governance Institute, is highly desirable.

**Knowledge and Skills**
- Excellent organizational and time-management skills.
- Proficiency in written and spoken English.
- Arabic language skills preferred, but not an essential requirement
- Strong communication and interpersonal abilities.
- High level of integrity and professional ethics.
- Detail-oriented with a commitment to high-quality work.Resilient and able to manage multiple tasks under pressure.

**Experience**
- A minimum of 12 years of experience in a company secretary role or similar.
- Experience in managing corporate compliance within a complex organizational structure.
- Thorough understanding of UAE onshore and ADGM company and commercial laws and regulation, including working practices of UAE regulators e.g. online portals.
