The Corporate Governance Manager is responsible for ensuring that the organization's governance practices align with legal and regulatory requirements while promoting transparency, accountability, and ethical conduct. This role involves developing, implementing, and maintaining corporate governance policies and procedures, developing and managing the risk profile as well as advising senior management and the board of directors on governance & risk matters. The Corporate Governance Manager plays a crucial role in safeguarding the organization's reputation, ensuring compliance with corporate governance best practices and ensure management of organization wide risks through timely identification. mitigation plans and timely actions.

**Responsibilities**:
Policy Development: Create, update, and maintain corporate governance policies and procedures to ensure compliance with relevant laws, regulations, and industry standards.

Board Support: Assist the board of directors in understanding and fulfilling their governance responsibilities, including preparing board meeting materials, managing board communications, and organizing governance training sessions.

Compliance Oversight: Monitor changes in corporate governance regulations and assess their impact on the organization. Ensure timely compliance with all applicable laws and regulations.

Ethical Standards: Promote a culture of ethical behavior within the organization by developing and implementing a code of conduct and ethics policies.

Risk Assessment: Conduct risk assessments related to corporate governance and recommend appropriate risk mitigation strategies to senior management and the board.

Disclosure and Reporting: Oversee the preparation and dissemination of corporate governance reports and disclosures, including the annual report, proxy statements, and other relevant documents.

Corporate Secretary Duties: Fulfill corporate secretary responsibilities, including maintaining corporate records, managing board meetings, and ensuring accurate meeting minutes.

Audit and Compliance Reviews: Coordinate internal and external audits related to corporate governance, addressing findings, and implementing corrective actions.

Corporate Governance Best Practices: Stay up-to-date with emerging corporate governance best practices and recommend improvements to the organization's governance framework.

**Key Performance Indicators (KPIs)**:
Compliance Rate: Measure the organization's compliance with corporate governance regulations and policies, aiming for 100% compliance.

Ethical Culture: Assess the organization's ethical culture through employee surveys, incident reporting, and ethical behavior indicators.

Risk Mitigation: Track the success of risk mitigation strategies in reducing organization wide risks.

Timely Reporting: Ensure that all corporate governance reports and disclosures are submitted accurately and on time.

Audit Results: Review audit findings and track the timely implementation of corrective actions.

**Requirements**:
Bachelor's degree in business administration, law, finance, or a related field. A Master's degree or relevant certification in Risk, Governance, and Compliances (e.g., Chartered Governance Professional) is a plus.

Minimum ten years of experience in corporate governance, compliance, or a related field.

In-depth knowledge of risk management and corporate governance principles, laws, and regulations.

Strong understanding of ethics and the ability to promote an ethical culture within the organization.

Excellent communication and interpersonal skills for working with boards, senior management, and stakeholders.

Analytical skills to assess and mitigate corporate governance risks.

Strong organizational and project management skills.

Attention to detail and ability to work under pressure.

**Salary**: From AED8,000.00 per month

Ability to commute/relocate:
