**RESPONSIBILITIES**

The CEO has a primary statutory reporting line to the Company’s Board of Directors. He will closely interact with Company’s shareholders. The Chief Executive Officer is accountable for the company’s entire operations, with the goal of delivering value-added services to members/owners in a profitable, competitive, and financially sound manner. The CEO shall establish supervisory controls and report to the board of directors, as well as providing executive leadership and guidance to the operational units in accordance with profitable, safe and good business practises.

RESPONSIBILITIES
- Managing the Company day-to-day operations, including financial, general administration, human resources and business activities in accordance to the Board of Directors decisions and the Company business plan.
- Keeping a harmony within the different stakeholders that constitutes the Company.
- Representing the Company and conduct relationships of the Company with the stakeholders and other authority bodies, regulatory agencies, lenders,
- Encouraging communication, ensuring that the principles and goals of the organization are adequately conveyed to all stakeholders (all levels of employees, customers, the board, funding bank and communities, etc.).
- Following up proper execution of all contracts and bringing in solutions to any claim or problem that may arise, in coordination with the Board of Directors.
- Manage, coordinate and control all high-level interfaces with the authorities, banks and clients.
- Ability to work successfully with a broad range of stakeholders from a variety of cultural and ethnic backgrounds.
- Ensures that those in responsibility of reporting to the board of directors on all financial, operational, personnel, marketing, and other problems and activities
- Optimize the Company financial performance and report the health of the Company to the Board of Directors and the shareholder Companies as and when required.
- Responsible in strategic growth of the company and in ensuring the company is profitable
- Responsible in keeping the record of careful, lean financial management.by proactive monitoring of financial and operational controls
- Understanding and use of financial statements as a management tool; past experience with operational budget duties.
- Submit to the Board of Directors the annual operating budget for approval.
- Ensuring that all necessary permits and consents are obtained on time and maintained.
- Ensuring that the Company complies with the laws and mandatory guidelines and carefully monitor any changes in law and regulations.
- Ensure the Company compliance with the Ethics, Health, Safety and Environment requirements and industry best practices.
- Accountable for HSSE results of construction project. Responsible in promoting the Company safety culture.
- Put in place adequate company governance and procedures
- Manage all the Project Agreements signed by the Company to accomplish the execution of the project (EPC contract, Shareholder agreement, Shared facilities agreement, Financing Agreements, O&M Agreement, and others)
- Ensures that the association’s controls, finances, and operations are being closely watched on a regular basis by someone who is knowledgeable about them (i.e., capital requirements, asset quality requirements, management and staff effectiveness, earnings requirements and liquidity requirements).
- Ensure operation within approved budgetary limits.
- Approve expenses incurred by subordinates in the course of performing their duties, in accordance with established budget, policies and duties.
- Prepare medium and long-term budget forecasts.
- Monitor and report budget variances and deviations from forecasts on a regular basis.
- Fostering good industrial relations at the Site and with key local groups, government and communities.
- Make sure that the Construction Director reporting to him has a proper follow up of the activities and ensure that relationship with all clients is well maintained (including HSE, timeline, budget ).
- Ensure preparedness for emergency incidents/situation.
- Responsible in Human Resources/ manpower management of the Company.
- Ensure the good and timely mobilisation of the operations team.
- Set objectives for his team, evaluate personnel on a regular basis and set up salary and benefits policy in line with budget and implement incentive schemes approved by the Board of Directors.
- Serve as an engaging, approachable, and helpful team leader who promotes an organizational culture that recruits, maintains, and inspires a diverse, highly competent workforce. Strengthen communication and decision-making rigor, quality, clarity, and transparency. Encourage departments to work together constructively and collegially.
