**Your Mission**

As Legal Counsel, you will play an integral role in providing comprehensive legal support. You will work closely with the General Counsel and collaborate with cross functional teams and help the company navigate legal challenges in a fast paced and innovative fintech environment that fuels our company’s growth.

The scope of legal work will be varied and includes drafting and negotiation of various legal documents, advising on product structuring, partnership arrangements, regulatory matters and corporate governance and corporate secretarial matters.

**What you will do**

**Legal Advisory and Contract Management**
- Provide legal guidance on a wide range of issues related to fintech operations, ensuring compliance with applicable laws and regulations.
- Contract Management: Drafting and negotiating a range of commercial agreements, including NDAs, MOUs, software development, strategic partnerships, product-specific terms, intra group agreements, terms of use and privacy policy for myZoi’s platform.
- Work closely with stakeholders to structure and develop products and services from scratch, including reviewing and working through process flows and understanding complexities of the relevant product(s) and technology and provide legal insight and expertise on existing and developing business propositions.
- Advising on legal and regulatory matters (including licensing) associated with transactions, partnership and product structure, operations, and entry into new markets, including IP and data privacy/protection.
- Collaborate with cross-functional teams, including but not limited to commercial, finance, technology, product and operations, to provide holistic legal support.
- Engage, procure, and manage external counsel support as and when required.
- Support provision of transactional support for projects and transactions within the company.
- Keep updated on relevant changes in law and regulations, shifting industry or market practices and litigation affecting myZoi.

**Corporate Governance and Corporate Secretariat**
- Close cooperation with the General Counsel/Board Secretary for myZoi and SC Ventures Corporate Secretariat in relation to governance of the company.
- Arrange board meetings and all aspects of board logistics to ensure smooth running, preparing and distributing board meeting documentation.
- Assisting with coordination and follow through on the execution of all board resolution and minutes, including any underlying documents approved to be signed.
- Work with company secretarial outsourced service providers for license renewals/updates, to file reports or events with the registrar of companies.
- Maintain a systematic database of all venture entities board meeting details (which should include, attendance, agenda, board papers, minutes, and resolutions).
- Prepare board and shareholder resolutions including ensuring all relevant documents and filings pursuant to the resolutions are made.
- Maintain and safe keep physical documents and soft copies and registers (where necessary), ensuring files are up to date.
- Ensure all corporate secretarial information are updated into Blueprint and Board Intelligence (SC Ventures platforms to manage data).
- Bachelor’s Degree in Law and admission to practice law in a recognized jurisdiction.
- 3 - 4 years post qualification experience.
- Proficient in managing diverse legal matters and exploring innovative technological solutions to enhance the efficiency of legal department processes and functions.
- Strong analytical and communication skills, capable of advising cross-functional teams on intricate legal issues and providing clear recommendations.
- Team player with the ability to collaborate, manage, and coordinate effectively with colleagues, internal stakeholders, and the business.
- Excellent drafting and negotiation skills.
- Comfortable working in dynamic, fast-paced environments with shifting priorities and ambiguity.
- Exceptional organizational skills, adept at meeting multiple deadlines.
- Self-starter with a solutions-focused and innovative mindset.

**Preferred Skills**
- In-house experience in the retail banking unit of a bank or experience working for a technology or fintech company.
- Knowledge and experience of UAE and Middle East laws and regulations.
- Knowledge of and experience in payment services and fintech.
- Corporate Secretarial experience (preferred but not required)
