TheMarriott International Law Department services the Companys lodgingbusiness around the world. The Europe and Middle East &Africa (EMEA) Law Department provides legal services to support thedevelopment and lodging operations of all Marriottbranded lodgingproducts in Europe and the Middle East & Africa (EMEA)region including the fullservice Marriott and Renaissance brandsluxury RitzCarlton and Bulgari and EDITION brands and Courtyard byMarriott and Residence Inn by Marriottbrands.
ThisManager I Legal Services position is part of the MiddleEast & Africa practice group of the LawDepartment and will report to a VP & SeniorCounsel MEA attorney on the team. The position mainlydeals with matters relating to Middle East &Africa but may be asked to cover and work with theEurope team. Currently several attorneys shareresponsibility for hotel development and development assetmanagement matters in EMEA and for the data entry and maintenanceof the databases forms disclosure documents and research withrespect to such matters.
The Manager I Legal Serviceswill work on both managed franchised and residences developmentmatters. In addition the Manager I Legal Services will also supportthe Law Department attorneys on certain asset management mattersfrom time to time. The position will be based in the DubaiArea Office.
EXPECTEDCONTRIBUTIONS
The Manager I LegalServices primary responsibilities are:
- Assist attorneys and other Manager ILegal Services by performing a variety of legalrelated projectsunder limited direction of an attorney including preparing draftsof management agreements franchise agreements disclosure documentscollection and verification of due diligence coordination withlocal counsel and internal resources and reviewing and analyzinglegal documents and business communications of moderate degrees ofcomplexity as more specifically describedbelow.
- Provide direct support to the attorneysand assist other members of the Group in the performance of theirduties and responsibilities.
- Interfacewith:
- Development personnel clients ownersfranchisees local counsel and their administrative staffs toconduct organizational due diligence and obtain all requiredinformation for completion of management and franchiseagreements.
- Development personnel local counseland their administrative staffs to review letters of intent andterms sheets and prepare and review confidentiality agreements allwith minimal input from attorneys other than to address nonstandardterms.
- Prepare first drafts of management andfranchise agreements and residential documents and in connectiontherewith utilize form amendments and modification provisions localcounsel memos and prior negotiated terms with existing owners andfranchisees (to the extent applicable); coordinate internal reviewswith risk management IP legal group and tax; prepare first draftsof negotiated changes to agreements based on guidance fromattorneys and the other variousdisciplines.
- Review and screen comments andrequirements from local counsel clients owners franchisees andtheir counsel.
- Prepare initial draft responsesfor attorney review.
- Coordinate closing oftransactions and manage full and proper execution of documents byauthorized Marriott personnel and owners franchisees (and all othercounter parties) coordinate internal powers of attorney (includingarranging notarizations apostille and embassy legalizations) andother required authorizations for Marriott personnel and ownersfranchisees (and all other counter parties) and ensure executedoriginals are returned and distributed and filed appropriatelyincluding preparation of
closingmemos. Coordinate with local counsel and IP legal group for allrequired postclosing filings.
- Work onvarious matters that may arise between closing of management andfranchise agreements and opening of hotels and residences such asownership changes amendment of agreements terminations and variouspreopening matters. As needed support attorneys with assetmanagement transactions such as conversions from managed tofranchise renewals of agreements terminations and variousamendments.
- Undertake special assignmentsincluding research review and analysis of contract documentationand other issues as requested.
- Maintaindatabase for hotels and uptodate tracking of the status ofdocuments. Maintain current agreements and related agreements andforms alternatives and samples disclosure documents and researchusing SharePoint and Teams sites and ensure that all the above andprocesses maintained on the site are current and accessible.Provide training assistance and access for both authorized internalpersonnel and external resources.
- Obtaininformation and assist in the preparation of franchise disclosuredocuments for annual update and local law requirements andcollateral documents for submission to governmentauthorities.
- Assist in review of financingrequests by owners and franchisees and respond to ownersfranchisees lenders and their counsel asnecessary.
- Respond as necessary tomiscellaneous management and franchise developmentissues.
- Perform related clerical duties asnecessary to fulfillresponsibilities.
CANDIDATEPROFILE KEY TALENTS AND EXPERIENCEDESIRED
Successful candidates shouldpossess formal training and experience asfollows:
- Threeyear or fouryear collegedegree and two or more years of relevant work experience;OR
- At least four years of relevant workexperience as aparalegal.
Successfulcandidates should possess knowledge experience relationship skillsand demonstrate strong leadership skills asfollows:
- Strong experience in contractdrafting reviewing and editing
- Good projectmanagement skills and ability to multitask and meet simultaneousdeadlines.
