Job Summary
ThisCompany is seeking to appoint an M&A Finance Analyst to jointhe M&A Advisory Department which is part of the Financeorganization. The M&A Advisory Department provides financeinput to transactions throughout the transaction process includingstructuring valuation due diligence and support to negotiations anddocumentation as well as providing objective and independent adviceto executive management relating to transactions.
The M&A Finance Analyst role supports the developmentand execution of large and complex international transactions byacting as a single point of contact for all financerelated inputsthroughout the lifecycle of transactions often against challengingdeadlines. Activities include screening opportunities structuringand framing formulating valuation and bid price recommendationsfinancial due diligence advising on accounting aspects oftransactions reviewing definitive agreements purchase priceadjustments integration planning and posttransaction evaluations.The M&A Finance Analyst will interface with other transactionteam members and specialists within Finance such as ProjectFinance.
Responsibilities:
- Provides expert and impartial advice toexecutive management to facilitate decisionmaking across alltransaction aspects.
- Plays a key role inmultifunctional transaction teams offering comprehensive financialsupport throughout transactions.
- Evaluatescommercial options and assesses transaction counterparties andjoint venture partners.
- Ensures valuationaccuracy in transactions including meticulous preparation offinancial models adhering to This Company standards robustdocumentation of assumptions and thorough riskassessment.
- Presents bid price recommendationsto senior management considering the competitivelandscape.
- Manages financial due diligencecoordinating advisors activities and communicating findings toexecutive management for valuation and agreementconsiderations.
- Offers guidance on transactionaccounting aspects.
- Contributes to definitivetransaction agreements and oversees purchase price adjustments andposttransaction allocations.
- Participates inintegration planning advising on finance integrationaspects.
- Coordinates inputs from other financeexperts in transactions.
- Guides and mentorsteam members in transaction processes.
- Contributes to process and methodology enhancements toestablish M&A execution excellence within thecompany.
- Undertakes ad hoc financial analysistasks including transfer pricing impairment reviews governmentincentives and group policy reviews.
- Overseesexternal Financial Advisors and consultants on transactionsfostering relationships with banks to gain external perspectives onthe M&A landscape.
Requirements:
- This role required candidate topermanently relocate at Dhahran SaudiArabia.
- Accumulate over 10years of relevant experience in conducting financial analysis forM&A transactions often acquired in leading investment banksaccounting firms or large international corporations.
- Demonstrate significant involvement in large andintricate crossborder transactions with a particular emphasis onthe energy natural resources or infrastructure sectors.
- Possess expertlevel proficiency in financial analysistools and methodologies with a thorough understanding of financialstatements International Financial Reporting Standards (IFRS) andinternational taxation.
- Hold a Bachelorsdegree in Finance Accounting Business Management or Engineering;while an advanced business degree (e.g. MBA) or Accountingqualification is preferred its not mandatory.
- Excel in numerical skills demonstrating methodicalorganization and adaptability to dynamic work environments withmultiple competing priorities.
- Display strongcommunication skills both verbal and written and functioneffectively as a team player readily integrating into diverse teamsand providing coaching and mentorship to fellow team members basedon your extensive experience.
