Our managed cloud kitchen network enables food brands to expand their delivery reach without needing to expand their kitchens – Kitopi provides necessary infrastructure and software with minimal capital and time expenditure.
Kitopi currently runs kitchen networks in New York, London, Dubai, Abu Dhabi, Kuwait and Saudi Arabia with more than 1200+ members of staff. On a mission to continue disrupting, we are in immediate demand for an entrepreneurial, focused, dynamic and energetic Corporate Counsel to be based in Dubai, UAE.
Requirements
What You’ll Do
You’ll be working directly with our CLO and support in developing the systems and processes that will be utilized to track and produce legal documents. You’ll also be responsible for the preparation of legal documents, such as briefs, contracts, agreements etc
- Provide counsel and guidance to internal clients on contractual matters, associated legal issues and participate in contract review and negotiation to ensure that the best interests of Kitopi are protected and secured.
- Advise decision-makers within the business to enable them to take risk-based decisions.
- Advise the business on legal interpretations, internal standards and practices, new business initiatives and other commercial and regulatory matters.
- Provide legal training to the business and be a knowledge-hub of best practices.
- Engage and work closely with business and other functional teams within Kitopi in order to help deliver transactions successfully (finance, tax, human resources, etc.).
- Draft and negotiate confidentiality agreements, technical services agreements and corporate documents (including, without limitation, powers of attorney and resolutions)
- Assist in providing legal support for setting up of companies in the UAE, KSA, Kuwait, UK, and the US, in order to ensure all the necessary documentation is prepared, collated and available when required.
- Assist in coordinating with internal stakeholders, such as the business development team, assets team, etc. as required, and follow up with them in order to gather the necessary information required.
- Proofreads draft agreements, letters, reports and tabulations for line manager’s review and correction.
- Conduct legal research as may be required including finding out precedents and relevant statutes, legal articles and other writings related to specific legal research, in order to support the team.
- Shadow senior team members on key meetings, negotiations, reviewing documents, etc. in order to build capability and competence in required areas.
- Ensure an up-to-date database of all relevant legal and statutory regulations to provide a convenient source of reference to colleagues within the function.
- Collate and draft the conditions precedent in the term sheet before the closing of the deal, in order to ensure the required documents are available.
- Draft the basics of agreements and contracts relevant to specific legal transactions and provide it to the team to populate other details in order to ensure the provision of required support.
- Adhere to all relevant organizational and departmental policies, processes, standard operating procedures, and instructions so that work is carried out to the required standard and in a consistent manner.
- Contribute to the identification and implementation of change initiatives, programs, and projects in line with the organization’s standards.
- Perform other related duties or assignments as directed.
What We Are Looking For?
- Between 4-8 years PQE with significant experience in drafting and negotiating complex commercial contracts and corporate transactions.
- A proven track record at a top law firm and/or in a dynamic in-house legal environment. Ideally with experience in both environments.
- Confident and pragmatic approach to problem-solving and managing legal risk.
- Proven ability to deal with ambiguity and work well in a fast-paced environment to meet deadlines within short time constraints whilst maintaining the utmost attention to detail.
- Excellent interpersonal and communication skills and willingness to be part of a team.
