About the Role

We are seeking an experienced
Legal Counsel

based in the UAE (Abu Dhabi or Dubai) to join our team in the UAE. Mission of the Role

To safeguard the company's operations in the UAE by ensuring legal and regulatory compliance, minimizing risks, and supporting management with expert legal guidance that enables sustainable business growth in both traditional and blockchain-driven environments.

Key Responsibilities

  • Review, draft, and negotiate contracts, agreements, and corporate documents.
  • Ensure full compliance with UAE laws, regulations, and industry-specific requirements, including ADGM law,
  • Advise management on
    blockchain, digital asset, and Web3 regulatory developments

and their impact on business operations.
- Maintain and update compliance policies, procedures, and internal guidelines.
- Handle corporate governance matters, including documentation and filings.
- Liaise with external legal advisors, regulators, and government authorities when necessary.
- Support internal teams with legal training and compliance awareness, including
Web3 and crypto compliance standards

.

Key Competencies

  • Legal Expertise:

Strong knowledge of UAE corporate, commercial, and labor laws, as well as ADGM law.
- Compliance Knowledge:

Proven ability to interpret and implement regulatory requirements, including
those applicable to blockchain and digital assets

- Contract Management:

Skilled in drafting and reviewing various agreements, including
technology and token-related contracts

.
- Risk Management:

Ability to identify, assess, and mitigate legal and compliance risks in both traditional and digital business models.
- Advisory Skills:

Experience providing practical legal advice to management and stakeholders.

Soft Skills Requirements

Requirements

  • Minimum
    4 years of legal experience

with focus on compliance and corporate law.
- Previous
in-house experience in IT, blockchain/ Web3 sectors

- Strong knowledge of UAE jurisdiction, corporate governance, and regulatory frameworks.
- Experience in advising on compliance documents and regulatory filings.
- Familiarity with
crypto-related regulatory landscape, AML/KYC obligations, and data protection standards

.
- Fluent in English.
- Abu Dhabi or Dubai location, ability to visit the Abu Dhabi office on a regular basis.

Preferred Qualifications

  • Legal or compliance certifications (LLM, ICSA, etc.).
  • Experience interacting with
    regulators or legal advisors in fintech or digital asset projects
