Legal Specialist / Corporate Secretary

Role Description

The Legal Specialist will be responsible for preparing and managing corporate legal formation documents, drafting board resolutions, minutes of meetings, shareholder agreements, and overseeing all matters related to company incorporation. The role requires strong legal drafting skills, attention to detail, and the ability to coordinate effectively with clients and internal teams.

Key Responsibilities:

  • Prepare and review corporate legal formation documents.
  • Draft board resolutions, minutes of meetings, shareholder agreements, and related legal documentation.
  • Support all processes related to company incorporation.
  • Coordinate with clients and internal stakeholders to clarify requirements and provide legal insights.
  • Maintain and organize legal records, files, and documentation accurately.
  • Assist with corporate structure planning and compliance requirements when needed.

Qualification:

  • Company Secretary qualification from a recognized institute.
  • Strong proficiency in legal document preparation with exceptional accuracy and attention to detail.
  • Excellent communication skills with the ability to clearly explain legal concepts to clients and internal stakeholders.
  • Familiarity with corporate structure planning and tax optimization is preferred.
  • Experience in a professional services, corporate, or consulting environment is desirable.
