Job Description

As a Senior Legal Advisor at ADNOC, you will play a critical role in providing legal counsel and advice to the Legal Directorate on operational, commercial, corporate, and transactional matters. Your expertise will be sought after to navigate complex legal issues and ensure compliance with laws and regulations.

Key Responsibilities
  • Provide Legal Counsel: Offer expert legal advice and guidance to the Legal Directorate on various matters, including joint ventures, investments, mergers, acquisitions, incorporations, dissolutions, and liquidations.
  • Support Legal Counsel: Assist the Legal Counsel in drafting, reviewing, interpreting, and amending legal opinions, agreements, letters, memos, submissions, and other relevant documents related to the business, projects, or transactions of the ADNOC L&S Legal Directorate.
  • Review Claims: Assist in reviewing claims in connection with the ADNOC L&S Legal Directorate's business activities, including through interpretation and advice on performance of signed contracts and prevailing legislation.
  • Oversight of Legal Functions: Assist the Legal Counsel in overseeing the legal functions of the ADNOC L&S Legal Directorate group companies, particularly in development and implementation of common legal practices and joint strategies.
  • Functional Guidance: Provide functional guidance, as required, to assigned personnel within the Legal Division on complex issues. Support and encourage lesser-experienced legal personnel, including identifying training and development needs and organizing courses, seminars, and orientation programs for legal and lay staff.
  • Internal Committees: Attend internal ADNOC L&S committees, as and when required, to assist the activities of the ADNOC L&S Legal Directorate and advise on legal risks, including conformity with laws and regulations.
  • Development of Junior Lawyers: Support the development of junior Emirati lawyers and coordinate with other Departments and Functions on development and implementation of training and development initiatives.
  • External Legal Counsel Services: Manage external legal counsel services related to the corporate and commercial legal affairs of the ADNOC L&S Legal Directorate, including review of external legal counsel work product, preparation of request for proposals, and instructing external legal counsel.
  • Corporate Governance: Coordinate with Group Corporate Governance Department on corporate governance matters related to ADNOC L&S Legal Directorate group companies.
  • Compliance: Coordinate with Group Ethics & Compliance Department on compliance matters related to the ADNOC L&S Legal Directorate and ADNOC L&S Legal Directorate group companies.
Requirements
  • Bachelor's Degree in Law
  • Fluent Reading and Written Arabic
  • Minimum 2 Years' Professional Qualification Experience in petroleum and/or industrial projects law or contracts drafting, interpretation, and negotiation or international business laws is recommended.
