Key Responsibilities:

  • Strategic Legal Counsel: Provide high-level legal advice to senior management on complex real estate transactions, development projects, and corporate matters.
  • Contract Oversight: Oversee the drafting, review, and negotiation of major contracts, including joint venture agreements, development agreements, land acquisition deals, and large-scale construction contracts.
  • Regulatory Strategy & Compliance: Lead the company's compliance with all local, state, and federal real estate laws and regulations, including land use, zoning, environmental standards, and building codes.
  • Risk Management: Identify and manage legal risks associated with large-scale development projects, including potential litigation, regulatory actions, and contract disputes.
  • Litigation Management: Direct and manage any litigation or arbitration, working closely with external counsel as needed, and ensuring the company's interests are vigorously defended.
  • Corporate Governance: Advise on and manage corporate governance matters, ensuring adherence to best practices, shareholder agreements, and board resolutions.
  • Due Diligence Leadership: Oversee and conduct thorough due diligence on property acquisitions and development opportunities, including title review, environmental assessments, and zoning compliance.
  • Stakeholder Engagement: Serve as the primary legal liaison with key external stakeholders, including joint venture partners, government agencies, and regulatory bodies.
  • Intellectual Property Protection: Safeguard and manage the company's intellectual property portfolio, including trademarks, patents, and proprietary information.
  • Mentorship & Development: Mentor and guide junior legal staff, providing training and leadership to enhance their professional growth and ensure the legal team's effectiveness.

Requirements:

  • Juris Doctor (JD) degree from a top-tier law school.
  • Minimum of 10+ years of experience in real estate law, with a significant portion at a senior level, preferably within a major real estate development company or law firm.
  • Extensive knowledge of real estate transactions, contract law, land use, zoning, and regulatory compliance.
  • Proven track record in managing complex real estate deals and navigating the legal aspects of large-scale development projects.
  • Strong leadership, negotiation, and communication skills, with the ability to influence at all levels of the organization.
  • Demonstrated ability to handle high-pressure situations and make strategic decisions.
  • Excellent analytical and problem-solving skills, with a keen eye for detail.
