Job Title: Legal Counsel - Contracts Division: LEGAL AFFAIRS Country: UNITED ARAB EMIRATES Work Location: UAE (RAK head office) Job Type: Legal Counsel Employment Type: Full Time Employment (Limited Contract) Purpose: The role holder is responsible to: contracting duties including drafting and reviewing contractual agreements and terminating contracts, task orders, work requests, and all types of agreements and researching current regulations, preparing bidding documents and conducting bidding processes and ensuring all legal. Key responsibilities & Accountability: - Drafting & Review contract terms and conditions to verify that they are in compliance with company policies and all applicable federal and state regulations. - Assists with reviewing contract and other legal documents. - Ensure that the terms of contractual agreements are written in language that is legally binding. - Proofread, edit, and fact-check legal documents for accuracy and consistency. - Developing and/or managing contracts, including tracking documents through the contracting lifecycle, contract compliance items, and keeping organized records. - Prepare contractual agreements using current research methods. - Handle breach of contracts in a timely manner. - Research regulations to guarantee contracts are updated and in compliance with laws. - Maintaining confidentiality of all matters. - Prepare Standard Templates for various routine contracts. - Prepare and communicate SOPs / Requisition list across different cross-functional Business Units to map key commercial/ financial coordination while negotiating contracts. - Prepare legal/ contractual/ risk recognition for all contracts/ agreements. - Any other tasks assigned by your line manager. Qualifications: - Education - Must have a Graduate degree in Law, PG is a plus - Experience: - Solid experience in the regulatory field or equivalent relevant legal experience. - At least 5-7 years legal experience ideally in a leading multinational Pharmaceutical organization, with a proven track record in contract negotiation and drafting. - Must be skilled negotiator having an excellent understanding in financial and business acumen, and business effect of any legal decisions - Proven Track record & key experience with Legal Knowledge to deal government & commercial contract administration is a plus - Knowledgeable of Commercial Law, with a focus on International Trade Law, Intellectual Property, Company Law. - Relationship Management with Governmental Authorities and other agencies - A strong understanding of the regulatory environment in the various Geographies of the Globe - Strong Knowledge of UAE, GCC, KSA, AFRICA Labor Law is a must & Compliance awareness - Excellent relationship management and communication skills necessary for interaction with the Government Authorities, the Judicial system and negotiating parties - Multicultural & multinational experience will be an added advantage. - Training: Key Competencies: - Legal & Compliance Expertise is the core functional competency. - Sharp business acumen, with good analytical skill including the ability to assess risk. - Must be resourceful problem solvers and must possess strong risk mitigation / management skill - Demonstrated experience in providing critical input to senior and corporate management. - Highly result oriented, extremely logical with strong sense of accountability & ownership. - Personal mastery on the core subject & law, demonstrable integrity and ethics. - Excellent communication, interpersonal skill - Excellent Legal Judgment Skills.
