As the linchpin of your organization's legal and regulatory compliance, the **Legal Counsel** ensures the smooth opening, maintenance, and closure of subsidiary companies, while obtaining and upkeeping necessary permissions and licenses, and maintaining up-to-date legal/secure documents.
This role is acts in guidance for our company holdings, and is not limited within Multilogin framework.
**Responsibilities**:
- **
Opening, maintaining, and shutting down subsidiary companies**
(currently, there are 4 in total, likely more soon)
- ** Obtaining and maintaining necessary residency documents and permissions for shareholders**
- ** Preparing legal documents for subsidiary companies** by working together with external legal teams
- (Example documents: service agreements, contracts with customers, employment agreements, travel orders.)_
- **Maintaining up-to-date KYC/AML documents **and facilitating bypassing KYC/AML processes in third party services
- **Acquiring and upkeeping licenses and permissions whenever necessary**:
- (Example: ICP license in China.)_
- **Maintaining compliance of subsidiary companies with local laws**:
- (Example: data protection compliance in EU, work environment specialist and risk assessment documents in Estonia etc.)_
- **Litigation Management**: Oversee and manage the company's legal disputes by working with external law firms
- **Corporate Governance**: Advise the board of directors and senior management on corporate governance matters, ensuring compliance with regulations and best practices
- **Risk Management**: Identify potential legal risks and provide proactive solutions to mitigate those risks, helping the company avoid legal disputes and liabilities
- **Crisis Management**: Lead legal response in times of crisis, such as product recalls, regulatory investigations, or public relations challenges
- **Government Relations**: Build relationships with government agencies and regulators, advocating for the company's interests and staying informed about regulatory changes
- **Training and Education**: Conduct training sessions for employees and management to raise awareness about legal issues and promote compliance
- **External Counsel Management**: Oversee relationships with external law firms, managing legal budgets, and determining when to engage external counsel for specialized matters
- ** Previous experience in a similar role, 3 years or more**:
- ** Excellent spoken and written English and Arabic**:
- Ability to work flexible hours, full remotely
- ** Excellent knowledge of employment legislation and regulations in UAE**
- An ability to persuade and convince people in negotiations over phone, virtual and text
- Analytical skills for approaching problems from multiple angles and independently reaching solutions
- Detail-oriented with an analytical mind
- Ability to work well under pressure and manage multiple projects simultaneously
- Can do, positive attitude
