**General Counsel**

Ezra, a leading B2B fintech company with offices in Kenya and Dubai is seeking to employ a General counsel to head our legal department. The role will be based in Dubai.

**Ezra overview**

Ezra provides B2B digital lending solutions for emerging markets in partnership with mobile and digital wallet operators and financial service providers. Ezra supports 24 operations in 23 countries, across Africa, the Middle East and Asia. Our key office locations are in Nairobi, Kenya and Dubai, UAE.

Our flagship products are Advance Credit Service (ACS), Nano and BNPL.
- ACS is an airtime or data advance offered to prepaid mobile subscribers at the point of low credit.
- Nano is a micro cash advance offered to mobile wallet users on demand.
- BNPL facilitates payment installments for products and services

As a FinTech company, our business is entirely technology and data driven, from determining subscriber eligibility, generating relevant offers, managing risk, loan issuance, recovery, optimizing performance and reporting, reconciliation and billing.

Each day we process approximately 21M loan requests and 1.4 TB of data across our markets. This process needs to be robust, reliable and secure.

But it doesn't end there. We're exploring new ways of using our platform and transactional data to improve our products and develop new product opportunities.

**Responsibilities | What you'll do**

Legal Strategy:

- Develop and implement the organization's legal strategy, aligning it with the overall business objectives.
- Provide guidance and oversight on legal matters across all aspects of the organization's operations.
- Provide oversight and management of the legal and compliance department including sourcing and managing external legal counsel, developing and managing budgets, and supervising the legal team.
- Monitor changes in laws and regulations that may impact the organization, and proactively recommend necessary actions.
- Develop and implement policies and procedures to ensure compliance with legal requirements.

Contract Management and Negotiation:

- Drafting, review, and negotiation of various contracts, including agreements with clients, vendors, partners, and other stakeholders.
- Assess contractual risks and provide recommendations to protect the organization's interests.
- Ensure that contracts are in compliance with applicable laws, regulations, and internal policies.

Litigation and Dispute Resolution:

- Manage and oversee litigation matters, including working with external counsel when necessary.
- Evaluate potential legal risks and develop strategies to minimize or resolve disputes.
- Represent the organization in legal proceedings, negotiations, and settlements.

Corporate Governance and Risk Management:

- Ensure compliance with corporate governance requirements and best practices.
- Advising on the best options and practices of doing business in the various jurisdictions of operation.
- Advise on legal aspects of corporate transactions, including mergers and acquisitions, joint ventures, and partnerships.
- Identify and assess legal risks and develop strategies to mitigate them.
- Oversee the organization's risk management framework and ensure appropriate risk mitigation strategies are in place.
- Take on full company secretarial duties, including preparing agenda for global/regional board meetings, collating materials to assist with board meetings and ensuring cohesion, and oversee/manage director and shareholder resignation and appointments across all offices.
- Ensuring protection of all Company Intellectual Property as well as that of its subsidiaries, which will include liaising with Patent and Trademark offices worldwide to ensure proper registration and protection of Company's Intellectual Property.

Team Leadership and Development:

- Manage and mentor the legal team, fostering a high-performance culture and ensuring professional development opportunities.
- Provide guidance and support to other departments on legal matters and risk mitigation strategies.
- Collaborate with external legal counsel, as necessary, to support the organization's legal needs.

**Requirements | What we are looking for**

**Qualifications & Essential Experience**
- Holds a Bachelor of Laws degree from an accredited institution.
- Admitted attorney of a competent court.
- 10+ years PQE within the technology and/or fintech industries (must have experience of working at both a law firm and inhouse).
- Knowledge and understanding of both common law and civil law systems
- Strong contractual skills with demonstrated experience with drafting, negotiating, and reviewing commercial and IT related contracts.
- Experience in handling cross-border transactions including projects on corporate/M&A transactions, complex commercial contracts, litigation, ESG compliance, data privacy, sanctions, and investigations
