**About Us**

Pentagon Food Group is a food distribution business, based out of a 80,000 SQ/Ft modern distribution facility in the heart of Stoke On Trent UK is looking for a dynamic M&A Corporate Development Manager to support the CEO and the senior management of the business, giving the business the capacity and bandwidth to deliver the business growth plans and Buy and Build targets.

M&A Corporate Development Manager will work with the senior management team to assess, evaluate, and create financial models to produce valuations on prospective acquisitions of businesses and targets in the vertical of PFG business domain. M&A Manager will advise PFG management & Board on strategic reviews, acquisitions, disposals, mergers, leveraged transactions and finance raising. PFG is looking for a highly motivated manager to support with deal execution and deal origination.

M&A Manager will play a key role in the PFG management team and advice on a wide variety of corporate transactions, interacting with clients and other professionals such as bankers and lawyers, take a lead role in the preparation of Business Plans and Information Memorandums, and will be closely involved in deal negotiation.

Head Of M&A will ensure that the reporting of the organisations financial and management accounts is sound and to provide a professional accounting service in respect of all financial operations, modelling the financial information provided by finance manager and the finance team to explore further growth within the business.

You will work on the origination and execution of Buyside leads, in the mid-market food and non-food retail and wholesale distribution sector.

You will have extensive experience in mergers and acquisitions, management buy-outs, fund raising, re-financing, financial modelling, due diligence reviews, strategic reviews and raising investments in the UK mid-market. This really is an all-round role.

**Roles and Responsibilities**
- Manage M&A projects (with support from and reporting into CEO / Directors) including being the day-to-day point of contact for Sell side agents and Prospects.
- Actively managing deal interface taking responsibility for managing all phases of the transaction cycle and deal execution.
- Coaching and contributing to the development of finance support team members
- Set, source, monitor and control M&A project Pipeline

Your responsibilities will include;
- Managing deals, generally £1m-10m and buy-side focused.
- Project managing transactions to ensure the deal processes are fulfilled.
- Undertaking detailed research on companies, associated sectors and identifying potential transactions and potential sellers
- Introduce PFG to all Well-Known CF & Sell Side advisors.
- Creating Funding Lines and Debt Assessments

**Experience & Background**
- Extensive corporate finance experience in an investment bank, Management consultancy, Big 4 or mid-tier or private equity firm
- Significant transactional experience with a demonstrable track record of deal execution across all phases of the deal lifecycle from origination through to completion, particularly Buy side transactions.
- Ideally experience of working on transactions involving private equity
- Strong project management skills
- Ability to work on a range of projects simultaneously to demanding timetables.
- Personal drive and integrity to deliver results within tight deadlines.
- Commitment to high quality standards and a detail-oriented approach
- Independent thinker with the ability to identify problems and contribute to the development of solutions.
- Comfortable discussing financially related commercial issues.
- Financial modelling including LBO & DCF analysis, Sensitivity, Capital Structures, and Key Value Creating Metrics
- Strong academic background
- Strong numerical, analytical and strategic thinking skills
- Excellent written and verbal communication skills
- Personable team player with the ability to create confidence and trust with both colleagues and external advisors.
- Worked in Corporate Finance M&A for at least 3 years.
- Have a strong understanding of typical mid-market deal structures.
- An industry relevant qualification e.g ACA, CFA, ACCA, CIMA
- Have financial due diligence experience to support Private Equity buy side opportunities.

- Supporting, leading, mentoring and training the accounting team and the indirect reports
- Reviewing and delivering monthly and quarterly financial performance models under IFRS
- Use technology to automate financial functions and real time reporting / analysis using Data / BI
- Work with Teams within our in house shared service centre to integrate financial functions
- Conducting business valuations and valuation metrics leading to potential acquisitions and buyouts.
- Provides and presents information, analysis and recommendations for decision making on all important matters that determine financial performance and value of the company.
