Head of Legal

**Job Purpose**:
Responsibility for the management of DP World Group's corporate and business development, mergers and acquisitions and corporate transactions relating to countries within the Commonwealth of Independent States (CIS), in addition to the provision of advice and assistance to the head office and regional senior management over a broad range of legal matters including providing leadership on transactions with complex objectives. Instruction of, liaising with, and supervision and management of external legal counsel. Responsibility for leading head office and regional corporate issues with a focus on mergers and acquisitions and joint ventures in the CIS.
**Key Accountabilities**:
- Responsible for Head Office and Regional legal issues relating to the CIS. Provide effective, reliable and user-friendly support, advice and assistance to senior managers within DP World on legal matters affecting any aspect of DP World’s business with a focus on CIS projects related to ports and terminals, logistics, parks and economic zones, maritime services and smart trade.
- Review, draft and negotiate a broad range of legal documents (including joint venture agreements, concession agreements, share purchase agreements and G2G agreements) ensuring that legal requirements are met within such documents.
- Identify and analyze legal issues arising in transactions, business strategies, initiatives and new projects. Make clear and commercially focused recommendations in respect of such issues. Manage the transactions and projects including their implementation from a legal perspective.
- Manage transactions in association with other senior business managers to ensure that legal, operational and commercial objectives are met.
- Assist in the identification, management and control of legal and related operational risks relating to all aspects of DP World’s business.
- Responsibility for handling strategic transactions and/or transactions with complex political/commercial objectives and legal complexities.
- Manage relationships and maintain strong links with external legal counsel. Select appropriate external legal counsel for work that is to be outsourced. Ensure that external legal counsel selected have sufficient expertise for the specific work and offer the best value in relation to the service they provide to DP World. Manage external legal spend for projects for which the job holder has day to day responsibilities.
- Act as a liaison between commercial colleagues and external legal counsel. Provide external legal counsel with clear and explicit instructions. Oversee and review work carried out by external legal counsel. Manage transactions in association with senior business managers to ensure commercial and legal objectives are met.
- Develop and maintain standard template documents for commonly used legal agreements. Implement and maintain an effective document management system in respect of executed legal documentation.
- Contribute to the strategy for day-to-day management decision making.
- Provide effective reporting to the Chief Legal Officer & General Counsel. Work with senior managers within DP World in conjunction with other functional specialists where appropriate to create and implement best practice policies and procedures to enhance efficiency and minimize risk relating to both transactions and day to day business activities.
- Provide direct supervision and leadership to direct reports, when applicable. Review and monitor legal advice and assistance provided by direct reports. Ensure that realistic and challenging objectives and clear team goals are set for direct reports and evaluate against these objectives and goals. Oversee and provide guidance to other lawyers in the group on larger international M&A transactions.
- Ensure that direct reports are trained and evaluated on their knowledge of and adherence to compliance policies and procedures specific to their jobs.
- Accountable for leading an engaged team, providing direction and promoting collaboration while ensuring they are enabled to carry out the goals and objectives of the business
- Promote and demonstrate positive behaviours in harmony with DP World’s Principles, values and culture.
- Ensure that the highest levels of safety are applied in all activities.
- Understand and adhere to DP World’s Code of Conduct and Ethics policies
- Perform other related duties as assigned
**Qualifications, Experience and Skills**:
Law Degree from an accredited university.
Qualification to practice law from a recognised legal regulatory body.
15+ years’ experience in an internationally recognised law firm and/ or multinational company.
Previous experience of managing people and provide leadership.
Specialist knowledge of international / cross border transactions and acquisitions and joint ventures. Experience in the CIS.
