RoleSummary / Purpose The LegalCounsel and Contracts Manager will be responsible for corporatelegal administration compliance control and thirdparty contractsupport across all TGT worldwide. As well as providing expert legalcounsel when needed by management.
EssentialResponsibilities
  • Act as the company formal legal counsel with all formal authoritiesand third parties
  • Manage existing Contracts/Legal staff in the organisation
  • Manage outsidecounsels and act as a key negotiator for strategic transactions
  • Analyse and identifythe legal risks of all business transactions to find remedieskeeping the senior management in all departments of the businessinformed of developments in laws and regulations that potentiallyaffect the business
  • Review incoming requests for tenders and identify legal issues
  • Review major accountagreements existing contract amendments consulting agreementsspecial licensing and nondisclosure agreements to ensure compliancewith regulatory guidelines
  • Drive contractlifecycle from drafting through completion and/or contractexecution including managing other legal resources
  • Assist in internalgovernance policies and regularly monitor compliance
  • Research and evaluaterisk factors regarding legal and contractual decisions andoperations
  • Applyeffective risk management techniques and offer proactive advice onpossible legal issues;
  • Draft and solidify agreements contracts and other legal documentsto ensure the companys full legal rights
  • Provide clarificationon legal language or specifications as needed
  • Manage contract changecontrol process and related correspondence requiring legal input
  • Maintain a deepunderstanding of contract templates contracts policy legal risk andliability and company position on various matters to ensurealignment with the companys goals and industry guidelines
  • Maintaining updatingand improving contractual records
  • Prepare contracts forinternal review and approval as well as ensure compliance withcompany policies as well as applicable laws or regulations
  • Interpret contractsand advise Business Unit Managers and Department Managers oncontractual responsibilities
  • Translate complexcommercial/legal scenarios into simple language and action plans
  • Assist in thedevelopment and maintenance of company policies
  • Maintain IntellectualProperty patents and coordinate with external IP agencies to ensuretimely update and registration of existing and new patents.

Qualifications /Requirements
  • Legal/Law Degree
  • LPCQualification is essential
  • A paralegalcertificate is beneficial
  • 710 years experiencein Contracts Management within the Oil & Gas industry
  • Considerableexperience in negotiating and legal/contracts experience includingpostcontract issue management
  • Demonstrable abilityto consolidate operational and commercial feedback forincorporation into contracts
  • Proven experience inproviding contract reviews and analysis to the business in relationto general contractual matters including potential or actualdisputes
  • Expertise incritical areas of compliance including antibribery and corruptionFCPA thirdparty management training and awareness campaigns andexecutive engagement
  • Expertise in commercial & corporate matters M&A andintellectual property in relation to Oil and Gas
  • Fluent English speaker
  • Native Arabic speaker
