The role holder assists the Head of LegalCommercial & Technology with managing legal risk in all thegeographies where the FAB Group operates in relation to Commercial& Technology activities in accordance with FAB Group legalpolicies and procedures. The role holder should be able to workautonomously but should seek the Head of Legal Commercial &Technologys input on unusual situations complex matters and issueswhich may pose significant legal financial and/or reputational riskto the FAB Group.

CoreResponsibilities

LegalAdvisory

  • Provideslegal advice and support to the business while keeping in mind FABsstrategic and businessobjectives. 
  • Provides guidance tofacilitate FABs compliance with all applicable laws rules andregulations.
  • Collaborates with the Head ofLegal to establish disseminate and implement the FAB Group legalpolicies.
  • Completes legal tasks and projects ina timely manner and responds to legal queries assigned to him/herby the Head of Legal.
  • Supports FAB subsidiariesand international branches by providing general legal oversight onlegal risks associated with their products and services.                   

Litigation                   

  • Supervises and isresponsible for the adequate management of litigation and disputespertaining to the relevant area in the UAE andabroad.
  • Represents FAB and its subsidiariesbefore Notaries Public court experts courts and the police toresolve matters in the best interest of the FABGroup.
  • Reports relevant litigation matters tothe Group General Counsel and Heads of Legal and provides updatesto the relevantstakeholders.

LegalDocumentation andReview

  • Drafts reviewsand negotiates contracts and other legal documents in order tomaximize the FAB Groups legal protections whilst simultaneouslyminimizing legal risks.
  • Produces and regularlyupdates standardized legal agreements contracts and standard termsand conditions for the FAB Group in compliance with internationalbest practices and applicable legalrequirements.
  • Assists the business in launchingnew products and conducts legal and regulatory due diligence onsuch products including identifying risks and mitigants in allapplicablegeographies.

Knowledgeof ExternalEnvironment

  • Staysabreast of new laws and regulations through continuous legaleducation attending professional conferences and participating inprofessional associations.
  • Provides updates tothe FAB Groups senior businesspersons on new legislation andregulatory developments that may have an impact on the FAB Groupand advises on how to comply with such new legislation andregulations.

KnowledgeSharing

  • Works closelyand develops a positive professional relationship with the othermembers of the legal function and shares legal knowledge and bestpractices with legal colleagues including providing formal andinformal training sessions at the direction of the Group GeneralCounsel and Heads ofLegal.

StakeholderManagement

  • Liaises withexternal law firms and relevant authorities (such as courts) toensure the effective resolution of all legal matters affecting theFAB Group.

Learning andDevelopment

  • Functionsas a subject matter expert and provides input on learning anddevelopment initiatives including training content to ensure valueaddition andrelevance.

MIS andReporting

  • Ensures thatall requisite reports are prepared in a timely and accurate mannerand meet the FAB Groups requirements policies andstandards.

PeopleManagementResponsibilities

  • Definesgoals and key performance indicators for direct reports and ensureseffective implementation of the FAB performance managementprocess.
  • Develops talent within the team byproviding guidance and coaching to achieve definedgoals.

SpecificAccountability

  • At thedirection of the Head of Legal Commercial & Technologytakes a prominent role in advising on technology digitization andrelated matters which includes procurement regulated outsourcingprivacy/data protection and intellectualproperty.
  • Advises on the use of specifictechnologies for purposes such as eidentity biometrics encryptionRPA and AI.
  • Drafts reviews and negotiatesvendor contracts including for material outsourcing technology(cloud onprem software open source software development etc.)services consultancy and provides legal support to the businesswith regard to vendor relations.
  • Advises onprivacy/data protection matters.
  • Drafts reviewsand advises on intragroup service contracts between FAB Head Officeand its subsidiaries and internationalbranches.
  • Advises the business and other FABfunctions on any other noncustomer facing legalmatters.

Qualifications:

MinimumQualification

  • Bachelorsdegree in law from an internationally recogniseduniversity.
  • Masters degree in law ispreferred.
  • Qualified as a lawyer in the UK theUSA Australia or another Commonwealth or European jurisdiction ispreferred.
  • Excellent English languageskills.
  • Ability to read write and communicatein Arabic is beneficial but notmandatory.

MinimumExperience

  • Minimum of 7years experience in a reputed bank or law firm with at least 3years in a similar role.
  • Experience withcommercial contracts (vendors collaborations technology licensing)is required.
  • Experience with data protection(e.g. GDPR) is required.
  • Experience with HRrelated matters is preferred but notmandatory.
