•Conducts legal and factual researchand analysis into assigned legal or regulatory matters and ensuresproper and hardcopy documentmanagement.
•Coordinates the management ofdocument review with external parties and internal revision controlfor document negotiation.
•Proof reads and editdraft legal agreements, including management of inter-departmentinput into agreement terms andappendices.
•Reviews and assists in draftinglegal opinions and advice and recommendations on various legal andcontractual matters to prevent risks and protect thecompany's interests.
•Assists in thereviewing and preparing of contractual documents to ensure thatrisks to Nawah are mitigated in contractnegotiations.
•Assists in the reviewing andanalyzing of legal documents of relevant legislations in answer tofunctional queries to mitigate risks and preventdisputes.
•Drafts legal administrativedocuments, legal opinions, presentations and analyses as requiredrelated to internal queries under the supervision of Senior LegalCounsels.
•Drafts memos to review UAE andinternational laws to determine the applicability to the enterpriseunder the supervision of Senior LegalCounsels.
•Drafts and send out quarterly legalreports to the respective reportingchannels.
•Drafts cover letters for submissionto third parties, including regulatorybodies.
•Engages with administrative staff andassociates to provide required information on and explanation ofNawah corporate information, policies and procedures in order tofacilitate due diligence and processrequirements.
•Assists in project plan set up;and monitor as well as update plans for the purpose of duediligence tasks, including reviewing materials anddocuments.
•Assists in the set up and managementof checklists for major projects including negotiation of complexproject agreements involving multipleparties.
•Carries out and review searchesresults and collates regulatory filings and submissions to ensurethat the legal database and research is up todate.
•Maintains and updates the legal files andlegal records both electronically & in the legal vault andmake it available in standardmanner.
•Coordinates with the team to establishand implement smart filing system/tools to improve the efficiencyof the Legal Department.
•Prepares minutes ofmeeting and follows up on open action items arising frommeetings.
•Collates comments received fromcounterparties and assists in amendments and proof reading ofdocuments for quality assurancepurposes.
•Supports the implementation of theLegal Department's policies and procedures and other tasksas may be required to support achievement of departmentalobjectives.
