Description Strategy&, l’entité conseil en stratégie de PwC, a été créée le 31 mars 2014, de la fusion de Booz & Company et de PwC pour constituer une nouvelle catégorie de conseil aux directions générales, depuis la stratégie jusqu’à l’exécution. Nous aidons nos clients à réaliser leur potentiel et à résoudre leurs problèmes les plus complexes en les accompagnant dans l'élaboration et la concrétisation de leur vision. Strategy& est présent dans plus de 70 pays et compte 4 000 collaborateurs. Nos clients sont aussi bien des grands comptes, des ETI et des fonds d'investissement. Description de la practice L’équipe de la plateforme Deals Strategy accompagne ses clients dans la réalisation de leurs projets stratégiques de Fusion & Acquisition : projets de croissance externe, de partenariat, de scission, de désinvestissement ou de restructuration. Cette équipe intervient depuis la définition / validation des choix stratégiques M&A jusqu’à leur mise en œuvre opérationnelle et l’optimisation de la valeur post-opération. L’équipe évolue au sein de la communauté « Deals » pluridisciplinaire de PwC (financiers, avocats) et multiculturelle et intervient auprès de ses clients nationaux et internationaux (grandes entreprises cotées, entreprises de taille intermédiaire et fonds d’investissement) présents dans des secteurs d’activité variés comme les biens de consommation, la technologie, les services financiers ou encore la santé. Le poste: Accompagner des fonds d’investissement français et internationaux dans la recherche de cibles d’acquisition, l’évaluation des risques et opportunités liées à l’investissement, et la création de valeur « post deal » pour leurs participations (stratégie de croissance, build ups, création de valeur opérationnelle, technologique) Accompagner des directions générales dans l’élaboration de leurs stratégies d’acquisition, de partenariat ou de désinvestissement : vision, analyse des risques et opportunités stratégiques et opérationnels, technologiques et humains Valoriser et hiérarchiser les principaux leviers de création de valeur : amélioration de la performance, synergies de revenus et de coûts, réduction du BFR,… Préparer la prise de contrôle de la société acquise et accélérer la mise en œuvre des plans d’amélioration et de transformation Elaborer et mettre en œuvre une stratégie d’intégration, un modèle opérationnel cible , le calcul de synergies, la conduite des initiatives d’intégration, le suivi de l’atteinte des objectifs de création de valeur Elaborer et mettre en œuvre des scénarios de désinvestissement et de détourage : analyse et qualification des enjeux de détourage pour l’activité cédée et le groupe cédant, définition de scénarios de désinvestissement, analyse des impacts opérationnels, financiers, RH, identification et mise en œuvre des actions nécessaires à la mise en autonomie de l’activité cédée Diagnostiquer et contribuer au rétablissement de la profitabilité d’une activité sous-performante ou à la restructuration opérationnelle de sociétés fortement déficitaires et en prochaine impasse de trésorerie Vos qualifications: Education Diplômé(e) d’une grande école d’ingénieur et/ou de commerce, d'un MBA ou d'une grande université internationale Expériences professionnelles Vous possédez 3 à 5 ans minimum d’expérience professionnelle réussie au sein d’un cabinet de stratégie ou de conseil, au sein d’une grande entreprise/ETI ou d’un fonds d’investissement Votre expérience fait de vous un généraliste sur les Fusions-Acquisitions, ou bien vous avez développé une expertise dans l’un des domaines suivants dans un contexte M&A: stratégie (stratégie M&A et de croissance, due diligence commerciale), Opérations (amélioration de performance opérationnelle), technologie (organisation IT, contrats, applications, infrastructure…), RH (enjeux humains dans les situations de M&A) Vous faites preuve d’esprit d’analyse, de synthèse et de rigueur Vous possédez un sens relationnel développé et une grande capacité d’écoute Vous aimez travailler en équipe et avez le sens du service client Vous avez une excellente communication écrite et orale en français et en anglais.
